Agreement to be interviewed for an ADRPAGES.COM Interview Article (hereinafter called 'Interview Article'), or to be a GuestBlogger of an ADRPAGES.COM Blog-Style Article Entry (hereinafter called 'Blog-Style Article Entry'; pursuant to the unique style of ADRPAGES.COM, GuestBloggers are permitted to submit blog-style article entries for possible inclusion in any article-content portion of the magazine, WITH THE EXCEPTION OF the actual "The ADR Ticker Blog" and "The ADR Insider" pages), automatically constitutes the Interviewee’s or GuestBlogger's acceptance of, and agreement to abide by, the following terms and conditions, of which Interviewees and GuestBloggers are presumed, without exception, to have notice:

The Interviewee or GuestBlogger hereupon consents to the written recording of her/his statements in the Interview Article or Blog-Style Article Entry and its excerpt(s), and grant to Wharton King, LLC (hereinafter, “WK”) the right to use, copy, reproduce, and/or publish, in whole and/or in part, the statements made in The Interview Article or Blog-Style Article Entry in/on its publication, ADRPAGES.COM and the following listed fora (see list below). The Interviewee or GuestBlogger further grants to WK the right to use her/his name and title, and website or blog address in connection with all uses of the Interview Article or Blog-Style Article Entry. The Interviewee or GuestBlogger attests that s/he has supplied The Interview Article or Blog-Style Article Entry gratis, i.e., not for compensation, and thereby agree that s/he will neither receive nor tender any compensation or tangible benefit from or to WK for The Interview/Interview Article or writing of/submission of the Blog-Style Article Entry, and/or its excerpts, its publication, use, or any promotion or activity related to the same. The Interviewee or GuestBlogger expressly grants to WK the right to publish The Interview Article or Blog-Style Article Entry, and/or its excerpt(s), in any form, in/on:

· The ADRPAGES.COM website;

· Any future collective assemblages by WK and/or ADRPAGES.COM;

· Any reprints made from WK and/or ADRPAGES.COM;

· Any media, databases, online groups, online associations, online blog sites, or other such mediums or fora; and,

· Any advertisements and/or related promotion.

The Interviewee or GuestBlogger hereupon represents and warrants that her/his statements in The Interview/Interview Article or Blog-Style Article Entry do not infringe upon any copyright, proprietary right, other intellectual property right, or any other right, and, do not defame, or invade the privacy of, any person. The Interviewee or GuestBlogger releases WK from any and all claims that may arise from the publication and/or use of The Interview/Interview Article or Blog-Style Article Entry, and/or its excerpt(s), including any and all claims of infringement of copyright, proprietary right, other intellectual property right, or any other right; defamation or invasion of privacy; infringement of moral rights; and rights of publicity.

The Interviewee or GuestBlogger hereupon covenants that s/he understands and accepts that WK reserves the right not to publish the Interview/ Interview Article or Blog-Style Article Entry in/on ADRPAGES.COM and/or any of the above listed fora, and if published, reserves the right to publish the Interview Article or Blog-Style Entry in any section of ADRPAGES.COM and/or any section or type of the above-listed fora, for any duration of time.

The Interviewee or GuestBlogger covenants that s/he understands and accepts that:

· The Interview or article entry will be edited in keeping with the ADRPAGES.COM stylistic and any/all other internal and external WK, guidelines;

· The Interviewee or GuestBlogger will be extended the opportunity to review and approve, via e-mail only, solely any modifications related to the first publication of the Interview Article or Blog-Style Article Entry content;

· If The Interview Article or Blog-Style Article Entry and/or its excerpt(s) is published on ADRPAGES.COM, WK freely grants the Interviewee or GuestBlogger permission to reprint The Interview Article or Blog-Style Article Entry, and/or its excerpt(s) elsewhere, but reserves the Interviewee’s or GuestBlogger's attribution and reference to ADRPAGES.COM; and,

· WK will publish the Interviewee’s or GuestBlogger's name and title, and may also publish, and further hyperlink, the Interviewee’s or GuestBlogger's website or blog address, in The Interview Article or Blog-Style Article Entry, and/or its excerpt(s).
